Standard Terms and Conditions of Sale

Introduction

These terms and conditions are standard within our industry and serve for illustrative purposes only. They form the basis of our contractual relationship with clients, ensuring transparency and mutual understanding.

Sample Agreement Request

In case you require a contract please request our sample agreement. In all other cases our proposal/quote and these terms form our agreement.

Objective

Our primary goal is to deliver the highest value possible, safeguarding and honoring the interests of all parties involved in the agreement.

Acceptance of Terms

By engaging with us, the client agrees to waive any pre-existing standard terms and conditions in favor of this agreement. Any modifications or exceptions to these terms must be agreed upon in writing in advance.

Separate Agreements

Clients have the option to enter into a separate, bespoke agreement if so desired. In all other cases our proposal/quote and these terms form our agreement.

Payment Terms

Our invoices are due for payment immediately upon receipt, unless otherwise specified on the invoice or accompanying order documentation. Late payments will incur a fixed interest charge of 10% of the outstanding amount. mazi4u.com reserves the right to suspend service delivery without prior notice if payments are not made on time.

Debt Recovery

Should an invoice remain unpaid for more than 60 days past its due date, mazi4u.com may engage a debt recovery service. The client will be responsible for all associated legal fees.

International Considerations

Clients are responsible for any withholding taxes as dictated by their local laws. mazi4u.com is not responsible for any costs related to compliance with the legislation of the client's country. The invoiced amount must be paid in full to mazi4u.com without deductions for such costs.

Service Delivery

mazi4u.com is committed to providing high-quality services within the agreed timeframes. However, our obligations are effort-based, not results-based. We cannot be held liable for any claims made against the client by third parties, including end consumers.

Claims Procedure

Any claims regarding the delivery of goods or provision of services must be formally notified to mazi4u.com via recorded delivery to our registered office within eight days following delivery or service provision.

Odoo Services (if applicable) special terms and conditions

  • Any prices mentioned are without any customizations unless specifically mentioned. Only the default functionality  offered by Odoo chosen version at the time the service can be implemented. Our services include if required to go through the documentation and explain the details once to a designated individual from your organization.
  • If issues that were not expected because of bad configurations of  an existing database (i.e. a database that was not set by mazi4u) they will be charged on a time material
  • If the customer is not ready as per the instructions that that they will receive at the date of the meeting, extra charges may incurred at a time and material basis
  • If customizations are necessary (e.g., changing source code), there may be additional costs depending on the scenario. We will discuss each need to find the best solution within your budget. I will provide a separate quote for each customization as the need arises. If costs are prohibitive, we can explore alternative approaches to achieve as much value as possible at a reasonable cost.

Part time Consulting services (if applicable) special terms and conditions

  • Fees are invoiced monthly, and the minimum commitment is one month. 
  • Engagement can be terminated with one month’s notice by either party.
  • To minimize overhead, maximize usage of allocated hours in productive work and focus on results, we provide timesheets only if requested. Instead, we track progress based on outcomes. Regular updates on progress and outcomes will be shared to ensure alignment with your expectations. We are ready to discuss any tracking and reporting approach that is currently used for your employees and/or 3rd party providers.
  • As part of our strategic engagement, we may recommend additional services to maximize results. These services may incur additional cost. They can be discussed and agreed at any point of our engagement.

Governing Law

All contractual relationships with mazi4u.com shall be governed exclusively by the laws of Cyprus
